We are seeking an experienced, driven and talented Senior Stock Administrator to join our legal team. The successful candidate will manage this pre-IPO technology company's day-to-day global equity plan administration, including the daily processing of equity transactions and working closely across all levels of the organization to support equity administration and education. The position requires a team player who can work with internal and external stakeholders and someone who wants to help grow Cohesity’s stock administration function as the Company grows in the USA and internationally.

HOW YOU’LL SPEND YOUR TIME HERE

  • Manage all aspects of Cohesity’s equity programs, including Stock Options and Restricted Stock Units (RSUs).
  • Data entry and manage all participant equity plan transactions on our equity database (Equity Edge Online) for grants, stock option exercises, terminations and leaves, including all necessary reporting requirements, and ensure they are processed in an accurate and timely manner.
  • Track and implement new equity grants from new hires, refresh and promotions.
  • Prepare monthly, quarterly and annual reconciliations of records and manage the cap table.
  • Collaborate and partner with the People, Total Rewards, Accounting, and Payroll team members to ensure accurate data flow and support for audits and reporting needs.
  • Prepare annual reporting forms required by the IRS and other tax jurisdictions as needed.
  • Prepare and track registration filings required by the U.S. and other international jurisdictions.
  • Respond to employees’ inquiries and manage the Stock Admin email inbox.
  • Enhance the stock administration function, including improvements in process and implementing automated solutions for scalability.
  • Support employee understanding of equity awards programs and policies through conducting educational webinars, presentations and creating employee communication materials.
  • Assist with SOX compliance and quarterly testing/audits by internal and external teams.
  • Provide excellent customer service to equity participants at all levels and to partners across departments
  • Perform other duties, ad hoc projects, and custom reporting as requested.

WE’D LOVE TO TALK TO YOU IF YOU HAVE MANY OF THE FOLLOWING

  • Bachelor's degree (B.A. or B.S.).
  • A minimum of 6 years’ experience in stock administration.
  • Extensive skills and experience in working on and maintaining data integrity in EEO.
  • Excellent Excel skills (i.e. pivot tables, vlookups, index and match).
  • Extensive understanding and knowledge of equity awards, including administering grants, exercises, tax and filing requirements.
  • Ability to lead, manage, track and follow-up on stock administration projects and provide strategic, tactical, technical and analytical support to senior members of the finance, legal and human resource teams.
  • Excellent analytical skills, accuracy and extraordinary attention to detail.
  • Ability to manage multiple transactions and projects simultaneously under deadline pressure.
  • Working knowledge of US tax and securities matters.
  • Understanding of many different types of equity awards and equity programs across multiple jurisdictions.
  • Knowledge of public company equity administration, including managing ESPP, processing RSU settlements, preparing Section 16 reports, reviewing 10b5-1 plans, and drafting stock-related sections of various SEC filings is a huge plus.
  • International experience and tax expertise are a plus.
  • Adept at effective interpersonal interaction in ahighlycustomer-satisfaction focused environment.
  • Excellent oral, written and interpersonal communication skills.
  • A strong team player who can work well with colleagues inall functional groups
  • Manage highly confidential information with professionalism and unquestionable integrity.
  • Certified Equity Professional (CEP) designation or working towards the designation preferred.
  • Likes to have a good laugh.

Disclosure Pursuant to Applicable State Equal Pay Transparency Laws - This position has a starting pay range as listed below. Actual salary depends upon many factors, including a candidates skills, qualifications and experience, location, and salary expectations, and therefore a starting salary at the low end, high end, or even above the stated range may be offered. This position may also be eligible for bonus compensation, commission (if in a sales function), and/or equity grants. Additionally, full-time employees are eligible to participate in our comprehensive benefits framework , including health and wellness benefits, vacation, paid holidays and refresh days, 401(k) retirement plan, life and disability insurance coverages, and other benefits the Company may offer from time to time.
US Pay Range
$108,800 $136,000 USD
