We are seeking a highly resourceful, process-oriented, and commercially astute senior lawyer based in Ireland to lead and manage the governance, compliance, and corporate administration of our portfolio of 40+ subsidiaries.This role will be responsible for building and overseeing best-in-class legal, governance, and

operational processes across our group structure. The successful candidate will combine strong technical legal expertise with exceptional organizational, stakeholder management, and execution skills.


HOW YOU'LL SPEND YOUR TIME HERE:

  • Lead and manage governance for 40+ subsidiaries across multiple jurisdictions.
  • Ensure compliance with applicable international corporate laws and regulatory
  • frameworks.
  • Oversee board processes, shareholder resolutions, annual filings, and statutory
  • obligations for international subsidiaries
  • Maintain and improve corporate governance frameworks and policies and our entity
  • management platform.
  • Act as Company Secretary (or oversee company secretarial function) where appropriate.
  • Process Design & Operational Excellence
  • Design, implement, and continuously improve scalable governance and compliance
  • processes.
  • Develop standardized templates, playbooks, and internal policies.
  • Create dashboards and reporting structures to provide transparency to senior leadership.
  • Manage legal entity lifecycle (formation, restructuring, liquidation, etc.).
  • Risk Management & Compliance
  • Identify and mitigate legal and regulatory risks across subsidiaries.
  • Partner with HR, Statutory Accounting, Tax, and Biz Ops teams to ensure alignment on
  • regulatory and structural matters.
  • Manage external counsel relationships across jurisdictions.
  • Strategic & Commercial Support
  • Advise senior leadership on corporate structuring, reorganizations, M&A, and cross-border matters.
  • Support group expansion initiatives and integration of new entities.
  • Provide pragmatic, business-focused legal advice.

WE'D LOVE TO TALK TO YOU IF YOU HAVE MANY OF THE FOLLOWING:

  • Qualified solicitor or barrister in Ireland with a current practicing certificate.
  • 5+ years’ post-qualification experience.
  • Strong experience in corporate law, governance, and multi-entity structures.
  • Experience working in-house, at a corporate services provider
  • Experience managing large, multi-jurisdictional subsidiary portfolios.
  • Familiarity with regulatory reporting frameworks in Ireland and the EU.

  • Preferred Experience
  • Exposure to international corporate structuring and governance best practices.
  • Experience working at a top-tier law firm preferred
